1. ACCEPTANCE OF TERMS

By accessing, using, or completing the Agency Operations Health Check and/or Agency Operations Efficiency Calculator (collectively, the “Assessment Tools”) provided by Operations Organised (“Ops Org,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use the Assessment Tools.

2. DESCRIPTION OF SERVICES

2.1 Assessment Tools

The Assessment Tools are online diagnostic instruments designed to evaluate operational efficiency and identify areas for improvement in technology agencies. The tools include:

  • Agency Operations Health Check: A comprehensive assessment of operational processes, systems, and workflows
  • Agency Operations Efficiency Calculator: A diagnostic tool that measures operational efficiency metrics and provides benchmarking data

2.2 Purpose and Scope

The Assessment Tools are intended for:

  • Business evaluation and diagnostic purposes
  • Identifying operational improvement opportunities
  • Generating preliminary insights about agency operations
  • Supporting business development conversations

3. ELIGIBILITY AND ACCESS

3.1 Authorized Users

The Assessment Tools are intended for use by:

  • Business owners, executives, and decision-makers at technology agencies
  • Operations managers and directors at qualifying agencies
  • Authorized representatives acting on behalf of eligible organizations

3.2 Geographic Focus

These services are designed for agencies operating in the Philippines, with additional availability for agencies in Southeast Asia, Australia, and other international markets. Recommendations and benchmarks are primarily based on Philippine and regional business practices.

4. USER RESPONSIBILITIES

4.1 Information Accuracy

You agree to:

  • Provide accurate, current, and complete information during the assessment process
  • Update any information that becomes inaccurate or outdated
  • Not submit false, misleading, or fraudulent information
  • Ensure you have proper authorization to provide company information if acting as a representative

4.2 Appropriate Use

You agree to use the Assessment Tools only for their intended business purposes and not to:

  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems to complete assessments multiple times
  • Submit assessments on behalf of competitors for intelligence gathering
  • Distribute, sell, or commercialize results without written permission

5. ASSESSMENT PROCESS AND RESULTS

5.1 Data Collection

The Assessment Tools collect information including but not limited to:

  • Company size, revenue, and operational metrics
  • Current systems, processes, and workflows
  • Team structure and resource allocation
  • Technology stack and tool usage
  • Performance indicators and challenges

5.2 Results and Recommendations

Assessment results include:

  • Operational efficiency scores and benchmarks
  • Identified areas for improvement
  • High-level recommendations
  • Potential ROI estimates for improvements

5.3 Limitations of Results

You acknowledge that:

  • Results are based on information provided and may not reflect complete operational reality
  • Recommendations are general guidance, not specific professional advice
  • Implementation of recommendations should be evaluated with appropriate expertise
  • Results are not guarantees of future performance or outcomes

6. INTELLECTUAL PROPERTY

6.1 Ownership of Assessment Tools

The Assessment Tools, including all software, algorithms, methodologies, and content, are proprietary to Ops Org and protected by Republic Act No. 8293 (Intellectual Property Code of the Philippines) and other applicable intellectual property laws. You receive only a limited, non-exclusive, non-transferable license to use the tools for their intended purpose.

6.2 Assessment Data and Results

  • You retain ownership of the business information you provide
  • Ops Org retains ownership of the assessment methodology and analytical framework
  • Results generated are provided for your use but remain subject to these Terms
  • Anonymized and aggregated data may be used for benchmarking and research purposes

7. PRIVACY AND DATA PROTECTION

7.1 Data Privacy Compliance

We comply with Republic Act No. 10173 (Data Privacy Act of 2012) and its Implementing Rules and Regulations. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your personal information.

7.2 Data Security

We implement reasonable security measures to protect your information in accordance with Philippine data protection standards, but cannot guarantee absolute security of data transmitted over the internet.

7.3 Cross-Border Data Transfer

If your data is transferred outside the Philippines, we ensure appropriate safeguards are in place as required by the National Privacy Commission.

8. DISCLAIMERS AND LIMITATIONS

8.1 “AS IS” Service

The Assessment Tools are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to:

  • Accuracy, completeness, or timeliness of results
  • Uninterrupted or error-free operation
  • Fitness for any particular purpose
  • Non-infringement of third-party rights

8.2 Business Advice Disclaimer

The Assessment Tools and results:

  • Are for informational purposes only
  • Do not constitute professional business, financial, legal, or tax advice
  • Should not be relied upon as the sole basis for business decisions
  • May not be suitable for all business situations or jurisdictions

8.3 Limitation of Liability

To the fullest extent permitted by Philippine law, Ops Org shall not be liable for:

  • Any direct, indirect, incidental, special, or consequential damages
  • Lost profits, revenue, data, or business opportunities
  • Damages resulting from use or inability to use the Assessment Tools
  • Actions taken based on assessment results or recommendations

Maximum liability, if any, shall not exceed the amount paid for services, or PHP 5,000, whichever is less.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Ops Org, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from:

  • Your use of the Assessment Tools
  • Violation of these Terms
  • Infringement of any third-party rights
  • Inaccurate or misleading information provided

10. MODIFICATIONS AND TERMINATION

10.1 Terms Modifications

We reserve the right to modify these Terms at any time with reasonable notice. Updated Terms will be posted with the effective date. Continued use of the Assessment Tools constitutes acceptance of modified Terms.

10.2 Service Modifications

We may modify, suspend, or discontinue the Assessment Tools with reasonable notice to users.

10.3 Termination

We may terminate your access to the Assessment Tools for any reason, including violation of these Terms, with appropriate notice as required by Philippine law.

11. GOVERNING LAW AND DISPUTES

11.1 Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or use of the Assessment Tools shall be resolved through the following escalating process:

  1. Informal Resolution: Good faith negotiation for thirty (30) days
  2. Mediation: If negotiation fails, non-binding mediation through the Philippine Mediation Center or similar recognized institution
  3. Arbitration: Final binding arbitration under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI) if mediation fails

11.3 Jurisdiction

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the Regional Trial Courts of Makati City, Metro Manila, Philippines.

12. CONSUMER PROTECTION

In accordance with Republic Act No. 7394 (Consumer Act of the Philippines), you have the right to:

  • Receive services that meet reasonable quality standards
  • Be informed of your rights and remedies
  • Seek redress for valid complaints
  • Protection against deceptive, unfair, and unconscionable sales acts and practices

13. FORCE MAJEURE

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, war, terrorism, epidemics, internet failures, or other force majeure events.

14. MISCELLANEOUS

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Ops Org regarding the Assessment Tools.

14.2 Severability

If any provision of these Terms is found unenforceable by a Philippine court, the remaining provisions shall remain in full force and effect.

14.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

14.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations with reasonable notice.

14.5 Language

These Terms are prepared in English. In case of any conflict between English and Filipino versions, the English version shall prevail.
